1. Introduction

Welcome to www.ttdauto.ae (“Website”), owned and operated by TTD VEHICLE BODIES MANUFACTURING LLC, also referred to as “TTD”, “Company”, “we”, “our”, or “us”, a company duly incorporated and operating under the laws of the United Arab Emirates (UAE).

By accessing this Website, requesting quotations, placing orders, or entering into any agreement with TTD, you (“Customer”, “Buyer”, “you”) agree to be legally bound by these Terms and Conditions.

If you do not agree, you must not use this Website or engage in business with TTD.

2. legal status & governing law

2.1 TTD operates in accordance with applicable UAE laws, including but not limited to:

  • UAE Commercial Transactions Law
  • UAE Civil Transactions Law
  • Federal Decree Law No. 15 of 2020 on Consumer Protection
  • Federal Decree Law No. 14 of 2023 on Trading by Modern Technological Means
  • Applicable VAT legislation (5% as per UAE law)

2.2 These Terms and any contracts concluded through this Website or directly with TTD shall be governed by and construed in accordance with the laws of the United Arab Emirates.

2.3 Any dispute shall be subject to the exclusive jurisdiction of the competent courts of the Emirate in which TTD is licensed, unless otherwise agreed in writing.

3. Scope of Business

TTD specializes in:

  • Manufacturing recovery and tow truck trays and vehicle bodies
  • Fabrication and installation of trays on new truck cabins including:
    • Isuzu
    • Hino
    • Fuso
  • Custom-built vehicle bodies
  • Supply and installation of hydraulic and recovery equipment

TTD reserves the right to modify specifications to meet safety standards, engineering requirements, or UAE regulatory compliance

4. Quotations & Contract Formation

4.1 All quotations issued by TTD are valid for the period stated in the quotation (unless otherwise stated, 14 days).

4.2 A legally binding contract is formed only when:

  • The Customer signs the quotation or formal sales agreement; AND
  • The required deposit payment is received by TTD.

4.3 TTD reserves the right to:

  • Refuse or cancel any order at its discretion
  • Amend specifications due to technical or regulatory requirements
  • Suspend production if payment terms are not complied with
5. Pricing & Payment Terms

5.1 All prices are stated in UAE Dirhams (AED) unless otherwise agreed.

5.2 Prices may exclude:

  • 5% VAT
  • Registration or RTA approval fees
  • Testing, inspection, or certification charges
  • Insurance

5.3 Payment Structure (unless otherwise agreed in writing):

  • Minimum 50% deposit upon order confirmation
  • Remaining balance payable prior to delivery or release of vehicle

5.4 TTD reserves the legal right of lien over any vehicle, tray, or equipment in its possession until full payment is received.

5.5 Late payments may result in:

  • Suspension of manufacturing
  • Storage fees
  • Withholding delivery
  • Legal recovery action under UAE law
6. Manufacturing & Delivery

6.1 Delivery timelines are estimates only and subject to:

  • Availability of materials
  • Supplier delays
  • Regulatory approvals
  • Force majeure events

6.2 TTD shall not be liable for delays beyond its reasonable control.

6.3 Risk transfers to the Customer upon:

  • Physical handover of the vehicle; OR
  • Written notification that the vehicle is ready for collection.
7. Customer Responsibilities

The Customer agrees to:

  • Provide accurate chassis and cabin specifications
  • Ensure compatibility of supplied cabins
  • Obtain necessary RTA or regulatory approvals where required
  • Operate the vehicle within load limits and UAE traffic regulations

TTD shall not be responsible for damage resulting from:

  • Overloading
  • Misuse or negligent operation
  • Unauthorized modifications
  • Failure to follow operational instructions
8. Warranty

8.1 TTD provides a limited manufacturing warranty covering fabrication defects for [12 months] from delivery, unless otherwise specified in writing.

8.2 The warranty does not cover:

  • Normal wear and tear
  • Hydraulic system misuse
  • Electrical misuse
  • Accidents or collisions
  • Overloading beyond rated capacity
  • Unauthorized alterations

8.3 OEM cabin warranties provided by Isuzu, Hino, or Fuso remain solely the responsibility of their respective authorized distributors. TTD is not liable for manufacturer cabin warranties.

9. Limitation of Liability

9.1 To the maximum extent permitted under UAE law:

  • TTD shall not be liable for indirect, incidental, or consequential damages.
  • TTD’s total liability shall not exceed the amount paid for the specific product giving rise to the claim.

9.2 TTD shall not be responsible for:

  • Loss of profit
  • Business interruption
  • Loss of contracts
  • Third-party claims arising from misuse

Nothing in these Terms excludes liability where such exclusion is prohibited by UAE law.

10. Cancellations & Refund Policy

10.1 Custom-manufactured products are non-refundable once production has commenced.

10.2 Deposits are non-refundable once materials have been procured.

10.3 Approved refunds (if any) may be subject to deduction of administrative, design, and material costs.

11. Retention of Title

Ownership of all trays, fabricated bodies, and equipment remains with TTD until full payment has been received.

TTD reserves the right to repossess goods in case of non-payment, subject to UAE legal procedures.

12. Force Majeure

TTD shall not be liable for delays or failure to perform due to:

  • Government actions or regulatory changes
  • Supply chain disruptions
  • Natural disasters
  • War, civil unrest
  • Pandemics
  • Labor disputes

13. Intellectual Property

All product designs, fabrication drawings, specifications, images, branding, and Website content are the exclusive intellectual property of TTD.

Unauthorized reproduction, copying, or commercial use is strictly prohibited.

14. Compliance & Commercial Transactions

Customers purchasing for commercial or fleet purposes acknowledge that transactions are business-to-business (B2B) commercial transactions under UAE law.

Both parties agree to comply with:

  • UAE Commercial Companies Law
  • Consumer Protection Law (where applicable)
  • VAT Law
  • UAE traffic and transport regulations

15. Indemnification

The Customer agrees to indemnify and hold harmless TTD against any claims, losses, damages, or liabilities arising from:

  • Improper vehicle operation
  • Overloading
  • Regulatory violations
  • Unauthorized structural modifications

16. Dispute Resolution

16.1 Parties shall attempt amicable resolution within 30 days.

16.2 If unresolved, disputes shall be submitted to the competent courts of the Emirate in which TTD is licensed.

16.3 The governing language shall be English unless an Arabic version is legally required.

17. Website Usage

Users shall not:

  • Submit false or misleading inquiries
  • Attempt unauthorized access
  • Copy technical specifications or proprietary designs
  • Use Website content without permission

TTD reserves the right to suspend access for violations.

18. Amendments

TTD reserves the right to amend these Terms at any time. Updated Terms shall become effective immediately upon publication on www.ttdauto.ae.

“Client”, “You”, and “Your” refer to the user of our website.
